1. About these terms
These Terms of Service govern access to the Bexford Automata website and the purchase and use of our AI automation and workflow optimization services. In these terms, “Bexford Automata,” “we,” “us” and “our” refer to the business providing the services described on this website. “You” and “client” refer to the person or organization accessing the website or commissioning work. If you act on behalf of an organization, you confirm that you have authority to enter into commitments for that organization.
By using this website, you agree to the provisions that apply to website use. Paid work begins only after the scope, fees and applicable project terms have been accepted by both parties. Sending an inquiry, discussing a potential project or receiving an estimate does not by itself create a paid engagement. If you do not agree to these terms, you should not use the website or commission services.
2. Services and delivery
Our services include Workflow Automation Setup, AI Assistant Configuration, Data Processing Automation, Customer Communication Automation and Business Tools Integration. These services help small businesses and growing teams organize recurring tasks, configure practical AI tools and connect compatible business systems. Services are delivered remotely unless a separate written agreement states otherwise.
Each project has a defined scope. Deliverables may include configured workflows, assistant instructions, field mappings, integration settings, testing records and operating notes, depending on the service purchased. We do not assume responsibility for every process or technology used in your business. Ongoing monitoring, additional integrations, managed support and later changes are included only when expressly stated in the project agreement.
3. Project scope and order of documents
Before work starts, we agree on the intended process, deliverables, participating systems, client responsibilities, pricing and delivery arrangements. This may be recorded in an accepted proposal, statement of work, service agreement or other written confirmation. A separately signed agreement takes priority over these website terms if there is a direct conflict. A project statement of work takes priority for the specific scope, schedule and commercial details it addresses.
Requests outside the approved scope are treated as changes. We will explain the additional work, its cost and any effect on the schedule before proceeding. Informal discussion of a possible feature does not add it to the agreed deliverables. A change to a connected application, data source, permission model or business rule may require a revised scope.
4. Prices, invoices and payment
Website prices are stated in United States dollars. The published project prices are $1,200 for Workflow Automation Setup, $1,800 for AI Assistant Configuration, $1,350 for Data Processing Automation, $1,500 for Customer Communication Automation and $2,200 for Business Tools Integration. These prices cover the setup scope agreed for the individual engagement. The accepted proposal or invoice confirms the amount due, payment schedule, due date and available payment method.
Third-party software subscriptions, platform usage charges, API fees, premium connectors and applicable taxes are separate unless expressly included in writing. We will identify known required third-party costs before you approve the relevant setup. You remain responsible for the subscriptions and accounts your business uses. We do not ask you to provide payment card details or account passwords through the project inquiry form.
Any deposit, milestone payment or advance payment must be stated in the project agreement. If an undisputed invoice remains unpaid after its due date, we may pause work after notifying you and allowing a reasonable opportunity to resolve the issue. Any late charge must be agreed in writing and permitted by applicable law. If you believe an invoice is incorrect, contact us with the disputed amount and a clear explanation.
5. Client information, access and cooperation
You are responsible for providing accurate requirements, appropriate sample data, timely decisions and lawful access to the systems needed for the project. You must have the right to use and share any material, data, account or business process you provide. Do not send credentials in an ordinary website inquiry. Access arrangements should use the supported account permissions or another method agreed for the project.
You are responsible for maintaining your own platform accounts, approving necessary subscriptions and assigning a contact who can make project decisions. If required access, information or approval is delayed, the schedule may need to change. We will communicate material dependencies and discuss a revised timeline rather than assume that an unavailable tool or missing input is ready for use.
You should maintain appropriate backups and confirm that a proposed workflow is suitable for your business. We agree on the permitted actions and testing arrangements before making material changes to live systems. You remain responsible for business decisions, the accuracy of your source data and any legal duties relating to the records your organization controls.
6. Testing, review and acceptance
We test configured work against the scenarios and requirements agreed for the project. You will have the review period specified in your proposal or service agreement to examine the deliverables and report a material mismatch with the approved scope. If no review period is stated, we will agree a reasonable review window when the deliverables are presented. A clear description of the issue, the affected step and any relevant non-sensitive sample helps us review it efficiently.
We will address reproducible defects that fall within the agreed scope under the correction arrangements for the engagement. A request for a new feature, a different business rule or a connection to another system is a scope change rather than a defect. Acceptance arrangements, included revision rounds and any post-delivery correction period are confirmed for the project. Silence alone does not remove rights that cannot lawfully be waived.
7. AI outputs and human oversight
AI tools produce outputs based on their configuration, available information and the underlying provider’s technology. Outputs can be incomplete, outdated or incorrect. Your team should review material communications, factual claims and business decisions before relying on them. We can configure review steps, approved sources and escalation rules within the agreed scope, but no configuration eliminates every possible error.
Our services do not replace professional legal, financial, medical or other regulated advice. Unless expressly assessed and approved under a separate written scope, a workflow should not be used to make decisions that materially affect a person’s legal rights, eligibility, employment, health or access to essential services. Do not provide sensitive or regulated data without first agreeing the appropriate handling requirements.
8. Third-party systems and compatibility
Integrations depend on the permissions, APIs, limits and features made available by the relevant providers. Provider outages, pricing changes, deprecated features, authentication changes and revised terms can affect a workflow after delivery. We assess compatibility as part of the agreed project, but we do not control the continued availability or behavior of third-party platforms.
You must comply with the terms of the software and services used by your business. A reference to a provider or a compatibility assessment does not imply a partnership, endorsement or certification. Work required to respond to a later provider change is covered only if it falls within an active support arrangement or a separately approved change request.
9. Cancellation, refunds and rescheduling
You may request cancellation by contacting us in writing. Before work starts, payments for work that has not been performed will be returned, less any specifically approved, non-recoverable third-party commitments. After work begins, we will identify the work completed, approved expenses and any remaining prepaid balance. You remain responsible for the agreed value of work already performed and approved non-recoverable costs; any unearned balance will be refunded.
If a deliverable materially fails to match the accepted scope, contact us so we can assess the issue and agree an appropriate correction, credit or refund for the affected work. We do not treat a change of preference or a new requirement as proof that completed work was defective. Refunds are issued through an appropriate agreed method, taking account of the original payment route and any mandatory legal requirements.
If we cannot complete an engagement, we will explain the situation, provide available completed work where appropriate and refund fees for work not performed. Rescheduling requests are handled in light of the work already scheduled and project dependencies. Nothing in this section limits any mandatory cancellation, refund or consumer right that applies to you.
10. Intellectual property
You retain ownership of the content, data, branding and materials you provide. Subject to full payment and the applicable project agreement, you receive the rights stated in that agreement to use the custom deliverables created for your business. If the agreement does not specify an ownership transfer, you receive a continuing right to use the paid deliverables for your own business operations.
We retain ownership of pre-existing methods, reusable components, general know-how, templates and tools that are not created exclusively for your project. Where these are embedded in a deliverable, you may use them as needed to operate that deliverable within the agreed purpose. Third-party software, open-source components and AI-provider outputs remain subject to their respective licenses and terms. We will not assume ownership of rights a third party controls.
11. Confidentiality and business data
Each party should protect non-public business information received from the other and use it only for the engagement or another agreed purpose. Access should be limited to people and service providers who need it for that purpose and are subject to appropriate obligations. Confidentiality does not apply to information that is lawfully public, independently developed, already known without restriction or lawfully received from another source.
If disclosure is required by law, the receiving party may disclose the necessary information and, where legally permitted, notify the other party. If the project involves personal information controlled by your organization, we will agree on the permitted processing and any required data-processing terms before that information is used. Our Privacy Policy explains how we handle personal information relating to website visitors and business contacts.
12. Responsible use and website content
You must not use the website or our work for unlawful access, fraud, harassment, deceptive impersonation, unsolicited abusive communications or infringement of another person’s rights. You must not attempt to disrupt the website, bypass access controls or introduce harmful code. We may refuse or suspend work where there is a reasonable basis to believe that the requested use is unlawful or materially conflicts with these terms.
Website descriptions explain the services we offer and do not establish a guaranteed result for every business. Client accounts describe individual experiences and are not a promise of identical time savings, revenue or return on investment. You may view website content for the purpose of evaluating our services, but you may not misrepresent it as your own business identity or copy protected material beyond what applicable law allows.
13. Service limitations and liability
We will use reasonable care and skill in carrying out the agreed services. We do not promise uninterrupted operation of third-party systems, error-free AI outputs or a particular commercial result. Apart from express commitments in the project agreement and rights that cannot be excluded by law, the website is provided on an available basis.
To the extent permitted by applicable law and subject to any separate written agreement, neither party is liable for indirect or consequential loss arising from the engagement, such as lost anticipated profits or opportunities. Our total liability for a claim relating to a particular project is limited to the fees paid for the affected project. These limits do not apply where prohibited by law or to fraud, willful misconduct or any other liability that cannot lawfully be limited. Mandatory consumer protections remain unaffected.
14. Ending an engagement and disputes
Either party may end an engagement for a material breach that the other party does not remedy within a reasonable period after written notice, unless urgent legal or security circumstances require immediate action. On termination, we will determine completed work, outstanding amounts, access removal and the return or deletion of project information in accordance with the agreement and applicable retention duties. Provisions intended to survive, including payment, confidentiality and intellectual property terms, continue as appropriate.
We encourage you to contact us first with a clear description of a concern so we can try to resolve it. Unless a signed agreement or mandatory law provides otherwise, these terms are governed by the laws of the State of Michigan, without applying conflict-of-law rules. Courts with appropriate jurisdiction in Michigan may hear disputes, subject to any rights you have to bring a claim elsewhere under mandatory law. These terms do not impose mandatory arbitration or waive non-waivable rights.
15. Updates and general provisions
We may update these terms to reflect changes to services, operating arrangements or legal requirements. The date shown at the top identifies the latest version. Updates apply prospectively; an existing paid engagement continues under its accepted agreement unless the parties agree otherwise or law requires a change. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion does not permanently waive it.
Questions about these terms, a proposal, an invoice, cancellation or a service concern can be directed to the contact details below. Please include sufficient information to identify the engagement without sending passwords, full payment details or unnecessary sensitive information.
